Terms of Service

Nexaris provides two categories of services: (1) custom software, web, and mobile application development, and (2) technical and English-language training programs delivered through our Academy. Specific project or course details, timelines, and pricing are agreed upon individually with each client.

To access certain features, you must create an account with accurate and current information. You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at academy@nexarisllc.com of any unauthorized use of your account.

Software development and Academy engagements typically begin with a discussion through our live chat feature, where the scope of work, course selection, or service details are agreed upon. Once terms are agreed, our team generates a secure Stripe payment link for the agreed amount and sends it to you within the chat. Your engagement is confirmed once payment is completed.

All fees are due in advance of service delivery unless otherwise agreed in writing for milestone-based projects. All prices are stated and charged in United States Dollars (USD). Payments are processed exclusively through Stripe; we do not accept payment through any other channel. You are responsible for any bank or currency conversion fees charged by your card issuer.

Timely delivery of software development projects and smooth participation in Academy courses depend on your cooperation. You agree to provide, in a timely manner, any content, materials, approvals, feedback, credentials, or access to third-party systems and accounts that are reasonably necessary for Nexaris to perform the Services.

If you fail to provide the items described above within a reasonable time after we request them, any project timeline, milestone date, or delivery estimate may be extended accordingly to reflect the delay. Nexaris will make reasonable efforts to notify you when a delay of this kind occurs.

Extended periods of inactivity or unresponsiveness on your part, including failure to respond to our requests for input, approvals, or access, shall not be considered a breach of these Terms by Nexaris, shall not entitle you to a refund, and does not affect the validity of any payment already made under our Refund Policy.

Upon receipt of full and final payment for a software development project, ownership of the custom code, designs, and other deliverables specifically created for you as part of that project transfers to you. Until full payment is received, all deliverables remain the exclusive property of Nexaris.

Nexaris retains full ownership of its pre-existing tools, internal frameworks, libraries, code templates, methodologies, and any general-purpose components not created specifically and exclusively for you. Nothing in these Terms transfers ownership of such pre-existing intellectual property, even where it is incorporated into your deliverables. You receive a non-exclusive license to use such components solely as part of your delivered project.

All course materials, videos, curricula, exercises, and other educational content provided through the Academy remain the sole property of Nexaris. Enrollment grants you a personal, non-exclusive, non-transferable license to access and use this content for your own individual learning purposes. You may not copy, redistribute, resell, publicly share, or use Academy content for commercial purposes.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to our systems, other users’ accounts, or data.
• Reverse-engineer, decompile, or resell access to our Services without written authorization.
• Share your Academy account credentials with others or allow shared/simultaneous use by multiple individuals.
• Use our live chat system to send spam, harassment, or unrelated solicitations.

The Services are provided on an "as is" and "as available" basis. While we take reasonable care in delivering our services, we do not guarantee that software will be completely free of defects or that outcomes from Academy training will meet any particular expectation. To the maximum extent permitted by law, Nexaris’ total liability arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to Nexaris for the specific service giving rise to the claim in the twelve (12) months preceding the claim. Nexaris shall not be liable for any indirect, incidental, special, or consequential damages.

We may suspend or terminate your account or access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other legitimate business reason. You may stop using the Services and request account deletion at any time by contacting us. Termination does not entitle you to a refund except as described in our Refund Policy.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

If a dispute arises between you and Nexaris, we encourage you to first contact us at academy@nexarisllc.com so we can attempt to resolve the matter informally. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and each party consents to personal jurisdiction in those courts.

We may revise these Terms from time to time. We will post the updated Terms with a new "Last Updated" date. Material changes will, where practicable, be communicated to registered users by email. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
